These Terms of Service govern your access to and use of TaoApex websites, apps, APIs, AI tools, and related services provided by TAOAPEX LTD (Company No. 16862192), registered at 128 City Road, London, EC1V 2NX, United Kingdom. Your use of the Services is also subject to our Privacy Policy. By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be legally capable of entering into a binding agreement and at least 16 years old, or the minimum age required by your jurisdiction. If you use the Services for a company or team, you confirm that you have authority to bind that organization. You are responsible for keeping your credentials secure and for all activity under your account.

2. Services, plans, and payments

TaoApex may offer free services, paid subscriptions, metered usage, credits, trials, and promotional access. We may modify, suspend, or discontinue features, plans, limits, models, or integrations at any time for business, technical, legal, compliance, or security reasons. Unless stated otherwise, subscriptions renew automatically. Fees are generally non-refundable except where required by law.

3. Inputs, outputs, and your responsibilities

You retain rights in the content you upload or submit as input to the extent you lawfully own or control it. Outputs generated by AI systems may be inaccurate, incomplete, biased, or unsuitable for your intended purpose. You are solely responsible for reviewing and validating both inputs and outputs before relying on them, publishing them, or using them in any commercial, professional, or regulated context.

4. Acceptable use

You may not use the Services to violate law, infringe rights, distribute harmful or abusive content, conduct fraud, impersonation, phishing, malware distribution, prompt-injection abuse, system attacks, scraping abuse, or other disruptive conduct. You may not use the Services as the sole basis for high-risk decisions such as legal, medical, employment, credit, insurance, or public-sector decisions.

5. Intellectual property and operational license

TaoApex and its licensors own the Services, including the software, designs, workflows, trademarks, interfaces, and related intellectual property. You grant TaoApex a limited license to host, process, transmit, and use your inputs and related data as reasonably necessary to provide, secure, maintain, improve, and enforce the Services.

6. Suspension and termination

We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, created legal or security risk, failed to pay amounts due, initiated abusive chargebacks, or used the Services in a fraudulent, harmful, or commercially abusive manner. You may stop using the Services at any time, but accrued obligations remain enforceable.

7. Disclaimers

The Services are provided on an "as is" and "as available" basis. TaoApex disclaims all warranties to the maximum extent permitted by law, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that outputs will be correct, lawful, or suitable for your needs.

8. Limitation of liability and indemnity

To the maximum extent permitted by law, TaoApex will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profits, data, revenue, or reputation. Our aggregate liability relating to the Services is limited to the lesser of the amounts you paid for the relevant Services in the 12 months before the claim or GBP 100. If you use the Services for a business or organization, you agree to indemnify TaoApex against third-party claims arising from your use of the Services, your content, or your violation of these Terms.

9. Governing law and contact

These Terms are governed by the laws of England and Wales. Commercial disputes are subject to the exclusive jurisdiction of the courts of England and Wales, without limiting mandatory consumer rights that cannot legally be excluded.
